Lead Counsel – Divestments & CMB (m/w/d)

A Typical Day Will Include:

As a Lead Counsel – Divestments & CMB working in the GMSGQ Legal Team, you will be empowered to:

  • Provide all kind of legal advice on CMB and Divestments matters
  • Assist on the correct M&A deal preparation and execution, including deal structuring, CIM and VDR, drafting and negotiation of APA, SAPA, SPA agreements in the context of divestiture activities, incl. also ancillary agreements like manufacturing, transitional services or tech-transfer agreements, etc.
  • Screen for contractual risks and manage potential disputes with respect to CMB-partners
  • Work in collaboration with colleagues from Tax, Regulatory, IP, IT and the Legal Department, especially from the EUCAN BD-Group
  • Coordinate and oversee divestment cases with external law firms and efficiently manage them

Your Responsibilities:

  • Providing legal services, amongst others, to clients from Takeda’s global CMB & Quality divestiture teams
  • Being the Legal lead for such GMS Divestment & CMB related matters, including M&A transactions and high value and complexity contract advise
  • Acting as SME for global product divestments with respect to GMSGQ topics
  • Supporting CMB & Divestments with the development of standards and templates
  • Actively contributing to initiatives of Takeda’s global manufacturing and quality lawyer network

  • Supervises a variety of assigned projects or tasks within a project widely independent and pro-active
  • Develops concise strategies in alignment with the requirements & CMB clients
  • Demonstrates humility and approachability in encouraging others to challenge ideas and openly raise issues

Decision Making & Autonomy:

  • Makes transaction decisions and develops strategies in alignment with the Head Counsel GMSGQ
  • Ensures business opportunities are properly balanced with sound (legal) risk management

Interaction:

  • Can clearly communicate with the GMSGQ clients, including also the leadership teams and his/her teams
  • Works as an interface to clients from the CMB-Group, Corporate BD-Group and external counsels
  • Proactively joins - and contributes to global lawyer network (VPG) GMSGQ

Complexity:

  • Cultivates a network of relationships throughout Takeda and law firm
  • Enables the VPG network to work collaboratively
  • Creates an environment that promotes agility, information exchange and the open and honest expression of opinions, thoughts and beliefs

Your Profil:

  • Fully qualified lawyer in UK or at least one European jurisdiction, with at least 10 years of post-qualification experience
  • Minimum of 5 years of experience within the pharmaceutical industry
  • Strong knowledge in Civil law and contract law
  • Strong background on M&A and technical pharma agreements & good technical (manufacturing or cGMP) understanding
  • Strong verbal and written communication, research, organizational as well as analytical skills
  • Team player
  • Strong communication skills, including convincing presentation skills, excellent interpersonal and relationship building skills with an ability to influence others
  • Fluent (spoken and written) in English, any further European language is an asset
  • Demonstrates unquestionable integrity and professionalism
